2018 Poland Spencer Stuart Board Index

In this second edition of the Poland Spencer Stuart Board Index, we review board composition, structure and governance practice in the 40 largest companies by market capitalisation on the Warsaw Stock Exchange, including the WIG20.

Our purpose is to provide business leaders with a snapshot of current practice on Polish boards. In addition to data for each company, we publish a detailed chart showing how the WIG20 index compares with leading companies in other European markets and the US on a key range of governance measures. These international comparisons are based on analysis published annually by Spencer Stuart in its national Board Index programme.

In this second edition of the Poland Spencer Stuart Board Index, we review board composition, structure and governance practice in the 40 largest companies by market capitalisation on the Warsaw Stock Exchange, including the WIG20.

  • 28% of non-executive directors in the top 40 companies are foreign (16.8% in the WIG 20 companies)
  • 15% of board members are women (21% in WIG companies)
  • 45% of directors are considered independent (53% in the WIG20, 37% in the next 20 companies)
  • The average pay for non-executive directors is PLN 136, 157
  • The average total fee paid to chairmen is PLN 202,073
