The 2020 Ireland Spencer Stuart Board Index examines the 20 largest companies, according to market value, on the Irish Stock Exchange (the ISEQ 20). For practical purposes, we used 30 April 2020 as the cut-off date for gathering information.
The purpose of this survey is to provide a comprehensive review of governance practices in these 20 companies at a given point.
Information has been compiled from publicly available sources. This report uses the board membership as it was on 30 April 2020 and the remuneration information is taken from the 2020 annual report for each organisation.
Chairs are excluded from the split between executive and non-executive directors and their tenure is treated separately. However, they are included in categories such as foreign directors, women, and average age. In discussing CEOs and CFOs we are concerned only with those who sit on the board of their company.
Foreign directors are defined as being of different nationality from the company on whose board they sit. The “new directors” category of our tables relates to directors who were appointed in the 12 months preceding the cut-off date, i.e. between 1 May 2019 and 30 April 2020.
A few companies report their directors’ remuneration in currencies other than Euros. However, for ease of comparison, we state remuneration data in Euros in our company tables and for the purpose of our broader analysis.
