Board Governance

How to rotate committee jobs

Julie Daum and Bob Heidrick
May 2007

As the demands of governance reform rise, boards have to weigh the merits of committee role rotation against the need for experience and consistency. With little guidance from regulators or governance authorities, many lack a formal policy for assigning and rotating directors. To understand how boards are handling this issue, we surveyed S&P 500 corporate secretaries and spoke with experienced directors about their approaches to committee role rotation - ensuring the continuity of experience while also bringing in fresh thinking. This article shares these findings and discusses approaches to committee rotation that boards can employ.
