The Compensation Committee: The Impact of New Disclosure Rules and Investor Activism

In response to new compensation disclosure requirements and investor activism on executive pay, many compensation committees have imposed more formal processes and reviews of executive pay. Many are tapping the expertise of outside advisers, reviewing pay for performance vehicles, and more thoroughly briefing the full board on compensation strategies. Published in the November 2007 issue of Directors Monthly, this article examines the early impact of the disclosure rules and compensation strategies.
