Corporate Governance: Fresh Insights and Practices for Directors

February 24 - 26, 2009
Philadelphia, PA

This ISS-accredited program, designed jointly by Spencer Stuart and the Wharton School of the University of Pennsylvania, is developed to apprise directors of new governance requirements and provide a stimulating forum for board members seeking practical solutions to today’s most critical issues. It offers an all-inclusive educational experience — from foundational financial skills to the most sophisticated strategic relationship-building skills — to help enhance your contributions to the board. The program also explores the specific challenges of audit, compensation and nominating/governance committee membership.

Facilitated by Wharton faculty members from accounting, finance, law, public policy and strategic management, as well as outside experts in corporate governance, this program offers an unparalleled wealth of experience and guidance, with a curriculum designed by some of today's top business minds. Many sessions involve long-time directors serving as speakers or panelists, providing new directors with the opportunity to ask experienced directors how their boards have confronted and handled challenges.

The three-day program will cover topics including:

  • Governing board policies and practices in an era of investor capitalism
  • Board and executive compensation
  • CEO & senior executive succession planning
  • The board’s role in strategy and M&A
  • The legal and regulatory environment
  • Spotting red flags: ethics and board leadership
